How to Use Claude to Review Contracts
Claude can analyze contracts to identify key terms, potential risks, and missing clauses. This systematic approach helps you understand legal documents before signing or negotiating changes.
- Upload or paste your contract text. Open Claude and either upload your contract file (PDF, DOC, TXT) using the paperclip icon or copy and paste the contract text directly into the chat window. Ensure all relevant sections are included, including appendices and exhibits.
- Request a comprehensive contract summary. Ask Claude to provide a summary of the contract's key terms, parties involved, obligations, and deliverables. Use the prompt: 'Please provide a comprehensive summary of this contract, including parties, key terms, obligations, and important dates.'
- Identify potential risks and red flags. Prompt Claude to analyze the contract for potential risks, unfavorable terms, or unusual clauses. Use: 'What are the potential risks, red flags, or unfavorable terms in this contract that I should be aware of?' Claude will highlight problematic language and explain why certain clauses might be concerning.
- Review termination and liability clauses. Specifically ask Claude to examine termination conditions, liability limitations, and indemnification clauses. Request: 'Analyze the termination, liability, and indemnification clauses. What are my rights and obligations under these sections?' These sections often contain the most significant legal and financial implications.
- Check for missing standard provisions. Ask Claude to identify any standard clauses that might be missing from the contract type you're reviewing. Use: 'What standard clauses or provisions are typically included in [contract type] agreements that appear to be missing from this document?'
- Generate questions for negotiation. Have Claude create a list of specific questions or negotiation points based on its analysis. Prompt: 'Based on your review, what questions should I ask the other party, and what terms should I consider negotiating?' This helps you prepare for discussions with the other party or your legal counsel.
- Request plain English explanations. For any complex legal language or terms you don't understand, ask Claude to explain them in plain English. Use: 'Please explain [specific clause or legal term] in simple terms and describe how it affects my rights and obligations.'
